These Terms of Service ("Terms") govern your use of the Custodia Learn mobile application and any related services (collectively, the "Service") owned and operated by Custodia Learn ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Companies and roles
Custodia Learn is the owner and operator of the Service, including all intellectual property, brand assets, source code, and user data, and is solely responsible for the operation and content of the application. All references to "we", "us", "our", or "the Service provider" in these Terms refer to Custodia Learn.
TOP HOUSE SOLUTIONS S.R.L. acts solely as an authorized publishing and distribution partner of Custodia Learn for the purpose of App Store and Google Play distribution. TOP HOUSE SOLUTIONS S.R.L. does not own the Service, the brand, or any user data, and bears no responsibility for the content or operation of the Service beyond its role as a technical distribution partner. No provision of these Terms creates any liability or obligation on the part of TOP HOUSE SOLUTIONS S.R.L. with respect to the Service.

1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.
2. Your account
- You are responsible for maintaining the confidentiality of your account and the email address tied to it.
- You agree to provide accurate information and to keep it up to date.
- You are responsible for all activity that occurs under your account.
- Notify us at custodialearn@gmail.com without delay if you suspect unauthorized access.
3. License to use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, solely for your personal, non-commercial educational use, subject to these Terms.
4. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract source code from the Service, except to the extent that such restriction is prohibited by applicable law.
- Scrape, crawl, or otherwise systematically extract content (courses, lessons, transcripts, AI responses) from the Service.
- Resell, redistribute, sublicense, or publicly display content obtained through the Service.
- Use the Service to upload, transmit, or transmit-by-reference any content that is unlawful, infringing, defamatory, harassing, or that violates the rights of any third party.
- Use the Service to harass, harm, or impersonate any teacher, student, or other user.
- Interfere with or disrupt the integrity or performance of the Service, including by introducing malware, exploiting vulnerabilities, or attempting unauthorized access.
- Use automated systems (bots, scripts) to interact with the Service except where we have provided a documented API.
- Use the Service in violation of any applicable law or regulation.
We may suspend or terminate your access at our discretion if we reasonably believe you have violated this section.
5. Intellectual property
- All courses, lessons, video content, transcripts, illustrations, mascot artwork, code, and other material made available through the Service ("Content") are owned by us or our licensors and are protected by copyright and other intellectual-property laws.
- The Custodia Learn name, logo, and the "Custy" mascot are our trademarks. You may not use them without our prior written consent.
- The license granted in Section 3 does not transfer any ownership of the Content. All rights not expressly granted are reserved.
6. AI assistant and user-submitted content
The Service includes an AI assistant ("Custy") that responds to questions you ask. You retain ownership of the questions you submit. By submitting a question, you grant us a worldwide, royalty-free license to process the question for the purpose of generating a response and operating the Service. AI-generated responses may be inaccurate or incomplete; you should not rely on them as a substitute for professional advice.
7. Live teacher sessions
Live sessions are scheduled with independent teachers. Teachers are not employees of Custodia Learn. We are not responsible for the conduct or content of any individual session, but we will investigate complaints in good faith and may remove teachers who violate our policies.
8. Termination
You may stop using the Service at any time. To delete your account and associated data, follow Section 5 of our Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, governing law) will survive.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components, or that any defect will be corrected.
10. Limitation of liability
To the maximum extent permitted by law, Custodia Learn and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Service. Custodia Learn's aggregate liability for any direct damages will not exceed USD 100. Some jurisdictions do not allow these limitations; in those jurisdictions, Custodia Learn's liability is limited to the smallest amount permitted by law. For the avoidance of doubt, TOP HOUSE SOLUTIONS S.R.L. is not a party to these Terms and bears no liability whatsoever under or in connection with the Service or these Terms.
11. Indemnification
You agree to indemnify and hold harmless Custodia Learn (and its officers, employees, contractors, and agents) from any claim, demand, loss, or damage (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your infringement of any third-party right.
12. Changes to the Service
We may add, modify, or remove features at any time. We will give reasonable notice of material changes that adversely affect users.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. For material changes we will notify you via in-app notice or email at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
14. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which Custodia Learn is established (the Republic of Kazakhstan), without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Service or these Terms will be resolved exclusively by the competent courts of that jurisdiction, except that Custodia Learn may seek injunctive relief in any jurisdiction to protect its intellectual property.
If you reside in the EU/UK, the mandatory consumer-protection laws of your country of residence still apply where they would override the choice of law above.
This governing-law clause applies solely to Custodia Learn as the Service provider. It does not establish any jurisdiction over TOP HOUSE SOLUTIONS S.R.L., which is not a party to these Terms.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any in-app notices, constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices to you may be delivered via in-app notification, email to the address on file, or a notice posted in the app. Notices to us must be sent to custodialearn@gmail.com.

TOP HOUSE SOLUTIONS S.R.L. is the authorized App Store and Google Play publishing partner only. It does not handle Service operations or support, and should not be contacted for Service-related matters.
